These Terms of Use constitute a legally binding agreement between you and EZ RE LLC, a Wyoming limited liability company (“EZ RE,” “we,” “us,” “our”), governing your access to and use of the QuantumLead.io and Quantum-Lead.com websites and all associated pages, forms, tools, and services. By accessing or using the site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, discontinue use of the site immediately.

QuantumLead.io and Quantum-Lead.com are trade names of EZ RE LLC, a Wyoming limited liability company operating a marketing and lead generation business. Our services consist of the identification, education, and pre-qualification of prospective retirement-income consumers and the delivery of appointment introductions to independent, state-licensed annuity producers, hybrid registered investment advisers, and safe money advisors.

EZ RE LLC operates as a lead generation intermediary. In fulfilling these services, EZ RE LLC may engage independent third-party marketing partners, lead generation vendors, and fulfillment contractors to assist in consumer-facing advertising, pre-qualification, and appointment scheduling. These parties are independent contractors of EZ RE LLC and are not employees or agents of EZ RE LLC. EZ RE LLC retains responsibility for overall delivery quality and client service commitments under signed service agreements.

All financial professionals who receive appointment introductions through QuantumLead.io are required under their service agreement with EZ RE LLC to be independently licensed and in good standing with applicable regulatory authorities. EZ RE LLC is not a party to any transaction between a financial professional and a consumer introduced through our platform and is not liable for the subsequent conduct, advice, or actions of any financial professional.

We act solely as a marketer and lead generation intermediary. We are not a bank, lender, mortgage broker, broker-dealer, investment adviser, insurance agency, insurance producer, fiduciary, appraiser, accountant, attorney, or licensed real estate brokerage. We are not registered with the SEC or FINRA. We do not originate, fund, service, or guarantee any financial product. We do not offer, sell, solicit, or recommend any security, annuity, or insurance product to any consumer or advisor.

You must be at least 18 years of age and possess the legal capacity to enter into a binding agreement to use the site. By using the site, you represent and warrant that you meet these requirements. If you are accessing the site on behalf of a business entity, you represent and warrant that you have authority to bind that entity to these Terms.

You agree that you will not: provide false, misleading, or fraudulent information in any form submission; submit spam, automated entries, or bot-generated content; attempt to gain unauthorized access to any portion of the site or its systems; scrape, crawl, or harvest any content from the site by automated means without our prior written consent; reproduce, distribute, or commercially exploit any content from the site; reverse-engineer, decompile, or disassemble any software or technology used on the site; or use the site for any purpose that is unlawful or prohibited by these Terms. THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, EZ RE LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EZ RE LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AND FULFILLMENT PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SITE OR OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EZ RE LLC IS NOT LIABLE FOR THE CONDUCT, ADVICE, FRAUD, OR MISCONDUCT OF ANY FINANCIAL PROFESSIONAL WITH ANY CONSUMER INTRODUCED THROUGH ITS PLATFORM. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless EZ RE LLC and its members, managers, officers, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any rights of a third party. This indemnification obligation survives termination of these Terms.

EZ RE LLC shall not be liable for any failure or delay in performing obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, public health emergency, war, terrorism, government actions, power failures, internet or telecommunications failures, cyberattacks, or third-party platform outages. This list is illustrative and not exhaustive.

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. EZ RE LLC may freely assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, or sale of assets, without notice to you.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

We reserve the right to modify these Terms at any time. Material changes will be indicated by updating the date at the top of this page. Your continued use of the site after any modifications constitutes your acceptance of the revised Terms.

These Terms shall be governed by the laws of the State of Wyoming without regard to conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts of Wyoming, and you irrevocably consent to personal jurisdiction and venue in those courts.
